  1. NOTICE is hereby given to the Public that I. ADRONICUS KEMBUGA BYAMUNGU (ADVOCATE), of ADCA Veritas Law Group, Advocates Jangid Plaza, 8th Floor, Unit 806, Ali Hassan Mwinyi Road. Plot 06 Chabruma, P.O. Box 63236, Dar es Salaam was on 24TH OCTOBER 2022 appointed by l&M BANK (T) LIMITED (“Debenture Holder’) in exercise of powers conferred upon them pursuant to Debenture Deed dated 7th August 2017 and registered on 4th September 2017 and variations thereon created by AQUA POWER TANZANIA LIMITED, t/a TURBINE TECH, (formally known as Turbine Tech Limited)(“Company”) in their favour, to be the Receiver and Manager of the assets charged under the said Debenture Deed and Variations thereon.
  2. Pursuant to specific instructions given to me by the Debenture Holder and in exercise of powers derived from the said Debenture and variations thereon as well as the Companies Act Cap 212 R.E 2002 and Amendments made thereto; I took over possession of all the properties charged under the said Debenture (“Charged Assets”). Consequent to that. possession of the Company’s charged assets vested in me with immediate effect from 26TH OCTOBER 2022.
  3. NOW WHEREFORE, I, ADRONICUS KEMBUGA BYAMUNGU, RECEIVER MANAGER OF AQUA POWER TANZANIA LIMITED, t/a TURBINE TECH (UNDER RECEIVERSHIP) of the address above given, dully constituted and empowered to issue this Notice and with every other power enabling me to act as contained herein, HEREBY ADVERTISE for sale of part of the Charged Assets as specified herein by inviting expression of interest and submission of bids and offers from the public.
  4. Brief Description: The Charged Asset for sale is a POWER GENERATION PLANT consisting of three (3) Gas Turbine Generators of the capacity of 15 Megawatts each making a total capacity of 45 Megawatts collectively with complete balance of plant including motor controls, switch gear, black start generator, spare parts and electric cabinets (“man► The Plant is constructed on a 15,807 square meters of land on Plot No. 1Block A Hiyari Area Mtwara District (Property”). In addition to the Plant, the Property comprises an administration block and other ancillary buildings such as workshops, sheds and toilets. The Plant is accessible via tarmac road along Nanyamba Road about 4 kilometers off Mtwara-Dar es Salaam Road and about 28 Kilometers west of Mtwara Town Centre. Notable neighbouring landmarks include TPOC Gas Pipeline office and Dangote Cement factory.
  5. Interested Members of the Public are invited to submit bids, in sealed envelopes, for purchase of the Plant as described herein indicating the offer price for the Plant with full postal and email addresses of the bidder including telephone number(s) and email address, which should be submitted so as to reach me on the address below before 16.00 hours on Wednesday 6thJanuary, 2023, where thereafter immediately will be followed by bid opening at 16.00 hours in my office at which bidders are invited to attend. Bids may also be submitted via emails to [email protected] to be received before the deadline.
  6. The sale will be conducted on AS IS WHERE IS CONDITION and without recourse as regards any statutory or other charges affecting the charged property or any delay In completing the sale. The only known encumbrance over the property is the charge in favour the Debenture Holder.
  7. Bidders should note that the information given herein is without recourse or liability as to the correctness of the same. Accordingly, it is the responsibility of the prospective bidders to carry out their own due diligence on the offered assets and satisfy themselves before participating in the bid.
  8. The successful bidder shall be bound to pay 26% of the bid amount (“down payment’) immediatelyaf ter acceptance of offer and the balance amount (“balance”) shall be paid within twenty-One (21) days thereafter. In case of default of the payment of the balance within the given 21 days the down payment shall be forfeited and the assets may be offered to another bidder.
  9. The successful bidder shall bear all fees, taxes, charges and costs payable on conveyance as may be prescribed.
  10. Certificate of sale shall be issued in the name of successful bidder only.
  11. The Receiver/Manager shall not be bound to accept the highest bid or any bid atall.
